Terms of Service

1. Who we are
Claspa (claspa.co.uk) is operated by Dexter, trading as Claspa, a sole trader based in the United Kingdom. Throughout these Terms, "Claspa", "we", "us", and "our" refer to this business, and "you" refers to anyone using the service.
2. What Claspa does
Claspa provides an automated, AI-generated first-pass review of documents you upload. The service identifies clauses that may carry practical risk, produces a plain-English summary, and assigns an overall risk level. It is designed to give you a fast, affordable starting point for understanding a contract, not a complete or final legal assessment.
3. Not legal advice
Claspa does not provide legal advice, and using the service does not create a solicitor-client relationship of any kind. Nothing produced by Claspa should be treated as a substitute for advice from a qualified solicitor, particularly for contracts involving significant money, property, employment, or legal risk. Where the stakes are meaningful, use Claspa's output as a starting point, then seek independent legal advice before making a decision.
4. Accuracy and limitations
Claspa's analysis is generated by artificial intelligence and is provided "as is". While we aim for it to be genuinely useful, AI-generated analysis can miss clauses, misinterpret language, or produce an incomplete picture, especially with unusual, non-standard, or poorly scanned documents. We do not guarantee that the analysis is complete, accurate, or fit for any particular purpose.
5. Eligibility and accounts
You must be at least 18 years old to use Claspa. Where you create an account (including via Google Sign-In), you are responsible for keeping your account credentials secure and for all activity that happens under your account. Let us know promptly if you believe your account has been accessed without your permission.
6. Pricing and payment
Claspa is offered on a pay-per-document basis, priced according to document length, or via a monthly subscription covering a set number of documents per month. Current prices are shown on our pricing page and at checkout before you pay. Payments are processed securely by Stripe; we do not store your card details ourselves.
We reserve the right to change our prices at any time. Price changes will not affect a purchase or subscription payment already made, but may apply to your next billing cycle or future purchases, and we'll make reasonable efforts to give notice of any change to subscription pricing in advance.
7. Subscriptions, billing, and cancellation
Subscriptions renew automatically each month until cancelled. You can cancel at any time from your account (avatar menu → Subscriptions). Cancelling stops future billing but does not refund the current billing period, you'll keep access to your plan's allowance until the end of the period you've already paid for, and the subscription will not renew after that.
Unused document allowances on a subscription do not roll over between billing periods and have no cash value.
8. Refunds
Because Claspa delivers a digital analysis that is generated and made available to you essentially immediately, once an analysis has been generated for a document you've paid for, that purchase is generally non-refundable. This reflects the nature of on-demand digital services under UK consumer law. If something has genuinely gone wrong on our end, for example a technical fault meant you were charged but never received a working analysis, contact us and we'll put it right.
9. Your documents and content
You confirm that you have the right to upload any document you submit to Claspa. You retain ownership of your content at all times; uploading a document does not transfer any rights in it to us.
We use your uploaded document only to generate your analysis. Documents are automatically and permanently deleted from our systems 30 days after upload. We do not use your documents to train AI models, and we do not sell or share your documents with third parties, other than the AI processing provider used to generate your analysis, who processes it solely for that purpose.
10. Acceptable use
You agree not to: upload documents you don't have the right to share; use Claspa for any unlawful purpose; attempt to interfere with, overload, or gain unauthorised access to our systems; or use automated means to scrape, extract, or bulk-download content from the service without our permission.
11. Intellectual property
Claspa's branding, website, software, and underlying technology are our property or that of our licensors, and are protected by copyright and other intellectual property laws. Nothing in these Terms grants you any right to use our branding or technology outside of your normal use of the service.
12. Disclaimers and limitation of liability
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including as to accuracy, completeness, or fitness for a particular purpose.
To the maximum extent permitted by law, Claspa's total liability arising out of or in connection with the service, however it arises, is limited to the amount you paid for the specific report or subscription period giving rise to the claim. We are not liable for indirect or consequential losses, including loss of profit, business, or opportunity.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
13. Your responsibility
You are solely responsible for any decisions you make based on Claspa's output. Where a decision carries real financial, legal, or personal stakes, seek independent legal advice before acting.
14. Termination
You may stop using Claspa at any time. We may suspend or terminate your access if you breach these Terms, misuse the service, or where we reasonably believe it necessary to protect the security or integrity of the service. Where reasonably possible, we'll give you notice first.
15. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the service or to applicable law. We'll update the date at the top of this page when we do. Continuing to use Claspa after a change means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of England and Wales, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of England and Wales.
